Terms of Service

These Terms are a working draft maintained by HuLofton and are flagged for California attorney review before enforcement of clauses noted below. Continued use of the platform means you accept these Terms as currently posted.

1. About these Terms

These Terms of Service ("Terms") form a binding agreement between you and HuLofton™ ("HuLofton", "we", "us", "our"). They govern your access to and use of hulofton.com, our mobile and web apps, and every related service (collectively, the "Platform"). If you do not agree, do not use the Platform.

2. Eligibility & Account Security

• You must be at least 18 years old to create an account, list items or services, message users, buy, sell, trade, or advertise.
• You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for every action taken through your account.
• You will notify us immediately of any suspected unauthorized use.

3. Platform-Only Role

HuLofton™ provides technology that enables independent users to create listings, discover items and services, communicate, buy, sell, trade and advertise services. Except where HuLofton expressly states otherwise, HuLofton does not own listed items, perform advertised services, employ or control providers, supervise work, establish provider pricing, inspect every item, verify every representation, or become a party to agreements between users.

Users transact and enter service arrangements directly with one another. Each user is responsible for evaluating the other party, reviewing the item or service, confirming identity and credentials when appropriate, agreeing on price, payment, delivery, return, cancellation and service terms, and complying with applicable laws.

HuLofton does not guarantee the identity, honesty, reliability, legality, qualifications, licensing, insurance, ownership, authenticity, quality, safety, availability, condition, performance or suitability of any user, listing, item, service or transaction.

Nothing on the Platform creates an employment, agency, partnership, joint venture, or franchisor/franchisee relationship between HuLofton and any user, buyer, seller, provider, contractor, or organization.

4. Verification Badges

Any verification badge or credential status confirms only the specific information HuLofton states it reviewed. It is not an endorsement, guarantee, background check, promise of future conduct, or assurance that the information remains current.

5. Marketplace Listings, Service Listings, and User Agreements

Listings, prices, availability, service scope, work schedules, deliverables, materials, warranties, and post-sale support are set by the user creating the listing. Agreements formed between users are between those users only.

6. Prices, Taxes, Fees & Promotions

Users are responsible for setting listing and service prices, collecting and remitting all applicable taxes, and complying with tax reporting obligations. HuLofton may charge platform fees, promotion fees, and other service fees disclosed at the time of the transaction. See Payment Terms and Fees Policy.

7. Payments & Stripe Processing

Payments are securely processed by Stripe. HuLofton does not receive or store your complete card number or card security code (CVV). We store limited transaction metadata such as Stripe session/intent IDs, amounts, currency, status, and last-four digits when useful for support and dispute handling.

8. Failed Payments, Chargebacks, Refunds, Shipping, Pickup & Delivery

Users are responsible for shipping, pickup, delivery, condition on arrival, returns, refunds, and cancellations of the items and services they list. HuLofton may investigate, dispute, reverse, offset, withhold payouts for, or otherwise remediate transactions involving fraud, abuse, or chargebacks. See Refund Policy.

9. Service-Provider Licensing & Insurance

Independent service providers are solely responsible for holding any required licenses, permits, insurance, or bonds; for their own workers and subcontractors; for on-site safety; and for compliance with applicable law. See Service Provider Rules. Licensing and insurance requirements vary by location and service; customers should independently verify credentials, insurance and current license status before hiring.

10. Prohibited Items & Prohibited Conduct

You may not list, sell, advertise, offer, request, or transact in any items or services prohibited by our Prohibited Items policy, our Acceptable Use policy, or applicable law.

11. User Content & Intellectual Property

You retain ownership of the content you submit. You grant HuLofton a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, cache, display, reproduce, distribute, modify, adapt, create derivative works of, translate, and promote that content solely to operate, improve, secure, and market the Platform. You represent that you have the rights necessary to grant this license. See Intellectual Property policy and Copyright / DMCA.

12. Reporting, Blocking, Moderation, Suspension & Termination

HuLofton may investigate, remove or restrict content, limit features, suspend, or terminate accounts at its discretion for safety, security, legal compliance, fraud prevention, policy violations, or any other reason permitted by law. You may close your account at any time from /delete-account. See Appeals.

13. Account Deletion & Data Retention

You may request account deletion at any time. Certain records may be retained after deletion where reasonably necessary for legal compliance, fraud prevention, dispute resolution, tax, accounting, and platform integrity. See our Privacy Policy.

14. Third-Party Services

The Platform integrates with third-party services (Stripe, authentication providers, hosting, analytics, communications, AI providers). Those services are governed by their own terms and policies.

15. AI Limitations — No Professional Advice

AI-generated scores, recommendations, pricing estimates, trust indicators, risk indicators, summaries, and questions are informational tools only. They may be incomplete, inaccurate, outdated, or based on insufficient information. They are not guarantees, appraisals, legal advice, financial advice, safety certifications, authentication reports, or professional inspections. You must independently verify important information before purchasing, selling, hiring, meeting, or paying.

16. Warranty Disclaimers

HuLofton provides the Platform on an "as is" and "as available" basis. To the fullest extent permitted by law, HuLofton disclaims implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or usage of trade. HuLofton does not warrant that the Platform will always be uninterrupted, secure, error-free, or free from harmful components.

17. Limitation of Liability — [ATTORNEY REVIEW REQUIRED]

To the fullest extent permitted by applicable law, HuLofton and its owners, affiliates, officers, employees, contractors and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, loss of data, business interruption, reputational harm, or damages arising from dealings between users, even if advised that such damages are possible.

Any monetary cap on aggregate liability will be added after California attorney review; no arbitrary cap is imposed by this posted version.

18. Indemnification — [ATTORNEY REVIEW REQUIRED]

You agree to defend, indemnify, and hold harmless HuLofton, its owners, officers, directors, employees, contractors, affiliates, successors, and assigns from and against claims, demands, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your content, your listings, your transactions, your violation of these Terms, or your violation of any law or third-party right. Final indemnification language is pending attorney review.

19. User-Dispute Release

To the fullest extent permitted by law, users release HuLofton from claims arising primarily from disputes between users, including disputes concerning listings, items, services, communications, payment arrangements, delivery, pickup, condition, quality, legality, qualifications, or performance. This release does not waive rights that cannot legally be waived or excuse HuLofton from responsibility imposed directly by applicable law.

20. Governing Law & Informal Dispute Procedure — [ATTORNEY REVIEW REQUIRED]

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing any formal proceeding, you and HuLofton agree to attempt to resolve the dispute informally by contacting /contact and allowing 30 days for a good-faith response.

21. Arbitration & Class-Action Waiver — [ATTORNEY REVIEW REQUIRED, NOT YET IN EFFECT]

No arbitration clause or class-action waiver is in effect in this posted version. Any such clauses will be added only after review by California counsel and separate notice to users.

22. Electronic Communications

You consent to receive electronic communications from HuLofton (email, in-product messages, and, where permitted, SMS or push) relating to your account, transactions, safety, security, and policy updates.

23. Severability, Assignment, Entire Agreement

If a provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the policies they reference, are the entire agreement between you and HuLofton regarding the Platform.

24. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date and, where required, notified through the Platform or by email. Continued use after changes take effect constitutes acceptance.
